Provider: SMAT Designs LLC (“SMAT Designs,” “we,” “us,” or “our”), Arizona, United States.
These Terms of Service (“Terms”) govern access to and use of CommerceOS Connector, including this website, supported integrations, operational workflows, and related services (collectively, the “Service”). By using the Service, you agree to these Terms.
1. Eligibility and authority
You must have legal capacity to agree to these Terms. If you use CommerceOS for a business or other organization, you represent that you are authorized to act for and bind that organization and to connect the accounts, data, and resources you use with CommerceOS.
2. The CommerceOS service
CommerceOS Connector is a web-based business operations service for authorized brand accounts. It can provide connected-channel operations, catalog and inventory identity, orders and fulfillment workflows, analytics and reconciliation, support workflows, and authorized content-transfer functions. Available features depend on provider access, approved permissions, and current service configuration.
3. Accounts, credentials, and security
You are responsible for maintaining the security of accounts and devices you control and for activity performed under your authorization. You may not share or misuse provider credentials, attempt to access another user’s or business’s data without authorization, bypass security or access controls, probe or disrupt the Service, introduce malicious code, or use CommerceOS in a manner that violates law or applicable third-party platform rules.
4. Authorized data, content, and instructions
You may submit, connect, or operate only data, media, accounts, shops, channels, and other resources that you have the right and authority to use. You remain responsible for the accuracy, legality, rights, and permissions associated with content and instructions you provide. Where CommerceOS presents an action for your approval, you are responsible for reviewing that action before authorizing it.
5. TikTok integration
TikTok authorization is optional. The TikTok creator integration submitted for review uses Login Kit with user.info.basic and Content Posting API Upload with video.upload. The user chooses whether to authorize the connection and whether to submit a selected video for draft upload. Direct Post is not requested, and CommerceOS does not request video.publish for this application. After a successful draft transfer, the user continues in TikTok to review, edit, and complete publication.
TikTok Shop seller authorization is a separate seller integration and is not ordinary TikTok Login. Use of either integration remains subject to TikTok’s applicable terms, policies, permissions, eligibility requirements, and platform controls.
6. User-directed actions
Some CommerceOS features communicate with third-party services or prepare and execute actions in response to an authorized user’s instruction. CommerceOS may apply approval, verification, rate, identity, security, or reconciliation controls before treating an action as complete. A request sent to a provider is not a guarantee that the provider accepted, completed, or published the requested action.
7. Privacy and data handling
Our handling of personal information is described in the CommerceOS Privacy Policy. By authorizing a connected service, you instruct CommerceOS to process information made available under the scopes and permissions you approve as reasonably necessary to provide the requested integration.
8. Intellectual property
CommerceOS software, branding, interfaces, documentation, and other service materials are owned by SMAT Designs or its licensors and are protected by applicable intellectual-property laws. These Terms grant only a limited, revocable right to use the Service as permitted by these Terms; they do not transfer ownership. You retain rights you hold in content and data you lawfully provide.
9. Third-party services
CommerceOS can depend on independent third-party platforms, APIs, infrastructure, and services. Those services remain governed by their own terms and policies. SMAT Designs does not control and is not responsible for a third party’s independent acts, outages, policy changes, account decisions, API changes, or discontinuation of functionality. TikTok is a third-party service and CommerceOS Connector is not affiliated with or endorsed by TikTok.
10. Availability and changes
We work to operate CommerceOS reliably but do not guarantee uninterrupted or error-free availability. We may modify, suspend, or discontinue features when reasonably necessary for security, compliance, reliability, provider compatibility, or product operation. Connected-platform features may change when a provider changes its APIs, permissions, or review requirements.
11. Suspension and termination
You may stop using CommerceOS and may revoke supported connected accounts. We may restrict, suspend, or terminate access when reasonably necessary to address security risk, abuse, unlawful activity, material breach of these Terms, provider requirements, or protection of CommerceOS, its users, or third parties. Provisions that by their nature should survive termination will survive.
12. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.” SMAT Designs disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. CommerceOS does not guarantee third-party platform approval, availability, publication, sales, revenue, ranking, or other business outcomes.
13. Limitation of liability
To the maximum extent permitted by applicable law, SMAT Designs and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or related to the Service. Nothing in these Terms limits liability that cannot lawfully be limited.
14. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless SMAT Designs from third-party claims arising from your unlawful use of the Service, content or instructions you submit, your violation of these Terms, or your violation of another person’s rights.
15. Governing law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Subject to applicable law, disputes relating to these Terms or the Service will be brought in a court of competent jurisdiction in Maricopa County, Arizona.
16. Changes to these Terms
We may update these Terms to reflect changes to CommerceOS, applicable law, security practices, or third-party requirements. The current version will be posted at this URL with an updated effective date. Continued use of the Service after an update constitutes acceptance where permitted by law.
